The terms for using ISONQ.

Short version: ISONQ is software you license for use in your machine shop. You can use it to do your work. You can't copy it, resell it, reverse engineer it, or pretend you wrote it. We provide it without warranty, in the sense that no software is perfect. If something goes wrong, our financial responsibility is limited. Disputes are handled in Colorado courts.

Who these terms are between

These Terms of Service ("Terms") form an agreement between you (or the entity you represent) and IsonQ LLC, a Colorado limited liability company ("ISONQ", "we", "us"). They govern your use of the ISONQ software, the website at isonq.com, and any services we provide.

Accepting these terms

By installing the ISONQ software, by using isonq.com, or by purchasing an ISONQ license, you agree to these Terms. If you don't agree, don't use the software or the website. If you're agreeing on behalf of a company, you represent that you have the authority to do so.

Your license to use ISONQ

When you purchase a valid ISONQ license, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the ISONQ software for your shop's internal business operations, on the number of machines covered by your license tier.

The license remains valid for as long as your subscription is current and your account is in good standing. If your subscription lapses or is terminated, the license terminates with it.

What you may not do

You agree not to:

  • Copy, modify, distribute, sell, or sublicense the ISONQ software
  • Reverse engineer, decompile, or attempt to extract the source code of the ISONQ software
  • Remove or alter copyright notices, trademarks, or other proprietary markings
  • Use the software to develop a competing product
  • Share license credentials with parties outside your organization
  • Use the software for any unlawful purpose or to violate any applicable law
  • Attempt to circumvent the software's license activation or security features

Ownership

ISONQ retains all right, title, and interest in and to the ISONQ software, the ISONQ trademark, the website, and all related intellectual property. These Terms grant you a license to use the software, not ownership of it.

You retain all rights in your own data. The drawings, files, customer information, quotes, jobs, and other content you process or store using ISONQ remain entirely yours. ISONQ does not claim any ownership over your work or your shop's data, and as described in our Privacy Policy, that data never leaves your machine.

Subscriptions, pricing, and payment

ISONQ is offered through subscription tiers. Pricing for each tier is published on isonq.com and may change with reasonable notice. Subscriptions renew automatically unless you cancel before the renewal date. Refunds are handled case-by-case. For questions about billing, email sales@isonq.com.

Pilot licenses and special arrangements

From time to time we may offer pilot licenses, founding customer designations, or special partnership arrangements with select shops. The terms of any such arrangement are documented in a separate written agreement between ISONQ and the shop. The existence of a pilot or special arrangement does not modify these Terms unless that separate agreement explicitly says so. A pilot license is a vendor-customer relationship and does not constitute a partnership, joint venture, or equity arrangement.

Feedback and suggestions

We welcome feedback from our customers. If you provide ISONQ with feedback, suggestions, ideas, feature requests, bug reports, pain points, workflow observations, or other input regarding the software ("Feedback"), you grant ISONQ a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, modify, distribute, and incorporate that Feedback into the ISONQ software and related products without restriction, attribution, compensation, or any obligation to you.

For clarity: providing Feedback does not give you any ownership interest in ISONQ or the software, does not entitle you to revenue share, equity, royalties, or other compensation, and does not create a partnership, employment, contractor, or co-development relationship with ISONQ. Customers may name pain points, suggest features, or describe workflow needs as part of normal product use; ISONQ is solely responsible for the design, architecture, and implementation of any solution, and retains all rights in those solutions.

This section does not apply to information you specifically designate in writing as confidential and that is covered under a separate written agreement (such as a non-disclosure agreement) between you and ISONQ.

Acceptable use

You agree to use ISONQ only for legitimate business purposes. You agree not to use the software in connection with any activity that violates U.S. export control laws (including ITAR or EAR), any applicable sanctions regimes, or any other law applicable in your jurisdiction. Responsibility for compliance with the export control implications of any drawings or designs you process through ISONQ rests with you.

Updates and changes to the software

We may issue updates, patches, and new versions of ISONQ. Some updates may add functionality, some may modify or remove functionality, and some may be required to maintain the software's security or licensing integrity. You agree that updates may be applied as part of normal software operation.

Disclaimer of warranties

Limitation of liability

Indemnification

You agree to indemnify, defend, and hold harmless ISONQ, its officers, employees, and affiliates from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising out of your misuse of the software, your violation of these Terms, or your violation of any law or third-party right.

Termination

You may stop using ISONQ at any time. If you cancel a paid subscription, your license terminates at the end of the current billing period.

We may terminate your license and access to the software if you breach these Terms in a material way and fail to remedy the breach within 30 days of written notice, or immediately if the breach involves unauthorized copying or distribution of the software, attempted reverse engineering, or fraudulent activity.

Upon termination, your license to the software ends. The provisions regarding ownership, disclaimer of warranties, limitation of liability, indemnification, and governing law survive termination.

Governing law and venue

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws principles. Any dispute arising from or related to these Terms shall be brought in the state or federal courts located in Jefferson County, Colorado, and you consent to the exclusive jurisdiction of those courts.

Changes to these terms

We may update these Terms from time to time. The effective date at the top of this page reflects the most recent version. Material changes will be communicated by updating that effective date. Your continued use of ISONQ after changes are posted constitutes acceptance of the updated Terms.

Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms, together with our Privacy Policy and any separately signed agreement, constitute the entire agreement between you and ISONQ regarding the software and the website.
