1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legal agreement between you and ISONQ LLC. By downloading, installing, purchasing, or using ISONQ, you acknowledge that you have:
- Read and understood these Terms in full
- Reviewed the features, specifications, and system requirements on our website
- Verified that ISONQ meets your intended use case before purchasing
- Agreed to be bound by these Terms and our Privacy Policy
2. Service Description
ISONQ is a local-first semantic search application that indexes files on your device, synchronizes Microsoft 365 emails and Teams messages locally, and provides AI-assisted search with HIPAA-compliant data sanitization.
System Requirements
ISONQ performance depends on your system configuration. You are responsible for ensuring your device meets our published requirements before purchasing. Poor performance due to the following is NOT grounds for refund:
- Insufficient RAM, CPU, or storage
- Conflicting software, antivirus, or security tools
- Corrupted files or unsupported file formats
- Network restrictions blocking Microsoft 365 sync
- Outdated operating system or drivers

AI Query Token Usage
ISONQ integrates with Claude Desktop via MCP (Model Context Protocol). Each query consumes tokens from your Claude subscription to synthesize answers. You acknowledge that:
- Token consumption occurs regardless of answer quality or relevance
- ISONQ does not guarantee specific retrieval accuracy or answer quality
- Query results depend on your indexed content, query phrasing, and AI model behavior
- "Wasted tokens" or unsatisfactory answers are NOT grounds for refund

3. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use ISONQ on devices you own or control.
Restrictions
- Do not share, sell, or sublicense your license key
- Do not reverse engineer or decompile ISONQ
- Do not use ISONQ to develop competing products
- Do not use ISONQ for unlawful purposes

5. Payment & Refund Policy
Billing
- Subscriptions billed monthly in advance
- Auto-renew unless cancelled before renewal date
- Prices exclude applicable taxes
14-Day Money-Back Guarantee
New subscribers may request a full refund within 14 days of their initial purchase. To qualify:
- Request must be submitted to [email protected] within 14 days
- Include your license key and reason for refund
- License will be deactivated upon refund
What Does NOT Qualify for Refund
- Requests made after 14 days from initial purchase
- Renewal charges (cancel before renewal to avoid charges)
- Failure to use the software does not extend the refund window
- Dissatisfaction with features clearly described on our website
- Technical issues you did not report to support for resolution
- Purchases made with promotional or discounted pricing
- Customers who have previously received a refund from ISONQ
- Performance issues due to system not meeting requirements
- Conflicts with third-party software (antivirus, VPNs, firewalls)
- Claude token consumption or AI answer quality
- Retrieval accuracy below user expectations (see whitepaper for benchmarks)
Chargebacks
Filing a chargeback or payment dispute without first contacting us constitutes a violation of these Terms. We reserve the right to:
- Immediately revoke your license
- Dispute the chargeback with documentation
- Pursue collection of any fees or costs incurred
- Permanently ban the account from future purchases
Cancellation
You may cancel your subscription anytime. Cancellation stops future billing but does not provide refunds for the current billing period. Your access continues until the end of your paid period.
6. HIPAA and Healthcare Use
Both Core and Pro tiers include HIPAA-ready features (PHI sanitization, audit logs). PHI is processed locally and never transmitted to ISONQ servers. BAAs available for Pro tier customers.
7. Your Responsibilities
- Verify your system meets requirements before purchasing
- Ensure Claude Desktop is properly installed and configured
- Maintain sufficient Claude API tokens for queries
- Maintain backups of your data
- Keep your license key secure
- Comply with applicable laws
- Install security updates promptly
- Contact support before disputing charges
8. Intellectual Property
ISONQ software and materials are property of ISONQ LLC. You retain all rights to your data.
9. Warranty Disclaimer
ISONQ IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant:
- Uninterrupted or error-free operation
- Compatibility with all systems or third-party services
- That the software will meet your specific requirements
- Results or outcomes from using the software
- Accuracy, relevance, or quality of AI-generated answers
- Retrieval performance on your specific data corpus
You are solely responsible for determining whether ISONQ is suitable for your intended use. Published benchmarks reflect controlled test conditions and may not represent your experience.
10. Limitation of Liability
ISONQ LLC is not liable for indirect, incidental, or consequential damages. Total liability limited to fees paid in the 12 months preceding any claim.
11. Termination
By You: Cancel anytime via your Stripe customer portal. No refunds for partial billing periods after 14-day window.
By Us: We may suspend or terminate your license immediately for Terms violations, fraudulent activity, or chargeback disputes. No refund provided for terminations due to violations.
