1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and ISONQ LLC ("ISONQ," "we," "our," or "us"). By downloading, installing, accessing, or using ISONQ software or services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind such organization to these Terms.

2. Service Description

ISONQ is enterprise search software that operates under a Zero-Knowledge Architecture. The software indexes local files, synchronizes authorized Microsoft 365 data, and provides semantic search capabilities. All data processing and storage occurs exclusively on your local device. ISONQ does not operate servers that store, process, or access your content.

3. License Grant

Subject to your compliance with these Terms and payment of applicable fees, ISONQ grants you a limited, non-exclusive, non-transferable, revocable license to install and use the ISONQ software on devices you own or control, solely for your internal business or personal purposes.

This license does not constitute a sale of the software or any copy thereof. ISONQ retains all right, title, and interest in and to the software.

ISONQ offers a fourteen (14) day money-back guarantee for new subscriptions. If you are dissatisfied with the software, you may request a full refund within fourteen (14) days of your initial purchase by contacting support.

After the initial fourteen (14) day period, all subscription fees are non-refundable. No refunds will be issued for renewal periods, partial subscription periods, or subscription downgrades.

7. Healthcare and HIPAA

ISONQ is designed to support HIPAA-compliant workflows for covered entities and business associates. Due to ISONQ's Zero-Knowledge Architecture, Protected Health Information (PHI) is processed and stored exclusively on your local device and is never transmitted to ISONQ infrastructure.

ISONQ, including all software, documentation, trademarks, trade names, logos, and related materials, is the exclusive property of ISONQ LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms grant no ownership rights in ISONQ intellectual property.

You retain all rights to your data. ISONQ claims no ownership interest in your files, documents, emails, messages, or other content processed by the software.

10. Third-Party Services

ISONQ integrates with third-party services including Microsoft Corporation (Microsoft 365), Anthropic PBC (Claude), and Stripe, Inc. (payment processing). Your use of these services is subject to their respective terms of service and privacy policies.

ISONQ is not responsible for the availability, accuracy, security, or reliability of third-party services. Third-party service interruptions do not entitle you to refunds or credits.

11. Warranty Disclaimer

ISONQ SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ISONQ does not warrant that the software will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You assume all risk associated with the use of ISONQ software.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, ISONQ's liability shall be limited to the maximum extent permitted by law.

Termination by User

You may terminate your subscription at any time through your account settings or by contacting support. Termination will be effective at the end of your current billing period. No refunds will be issued for the remaining portion of any prepaid subscription term.

Termination by ISONQ

ISONQ may suspend or terminate your license immediately and without notice if you: (a) violate these Terms; (b) fail to pay fees when due; (c) engage in fraudulent or illegal activity; or (d) use ISONQ in a manner that threatens the security or integrity of our systems or other users.

Effect of Termination

Upon termination: (a) your license to use ISONQ software terminates immediately; (b) you must cease all use of the software; (c) data stored locally on your device remains in your possession; and (d) ISONQ has no obligation to provide continued access to software features or support services.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Denver, Colorado.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST ISONQ.

15. Amendments

ISONQ reserves the right to modify these Terms at any time. Material changes will be communicated via email and in-application notification at least thirty (30) days prior to taking effect.

Your continued use of ISONQ following the effective date of any modifications constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the software.
